This Agreement is entered into in the County of Orange in the State of California, by and between Chelsea Espinoza, Master Certified Professional Coach, certified under Certified Life Coach Institute under the authority of the International Coaching Foundation (ICF), doing business as Road To Jubilee Professional and Personal Coaching (hereafter by referred to as, “Coach” or “Road To Jubilee Coaching”), and client for Coaching Services to be provided by the Coach for the Client.
Description of Coaching: As the Client’s Coach, will partner with the Client on a journey of discovery, self exploration, accountability and follow through. The Coach’s job is to help Client discover, create a plan and reach certain goals in the Client’s life. The Coach will help the Client discover within themselves the beliefs or issues that are blocking the Client from moving forward and achieving their stated (or expressed) these set goals. The Coach operates from a particular coaching model, but it is the responsibility of the Client to follow through with implementing the plan set forth between Coach and Client.
As outlined by the ICF, Coaching is a partnership (defined by an alliance, not a legal business partnership) between Coach and Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential. It is designed to facilitate the creation and development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals.
This agreement sets forth the expectations and standards that both Client and Coach agree to abide by during the coaching relationship.
1. Coaching-Client Relationship
1.1 Achieving the results desired by the Client and Coach takes time. In order for the coaching to be most effective and to allow time for changes and results to occur in the Client’s life, the Client will commit to a period of consistent coaching set forth by Coach and Client agreement, to be determined. Once Foundation Session has been completed, it is recommended by Road To Jubilee for Client to commit to a minimum of 6 consistent coaching sessions.
1.2 Client acknowledges that coaching is a comprehensive process that may involve different areas of their life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility.
1.3 The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.
1.4 Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.
1.5 Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.
1.6 Coach agrees to maintain the ethics and standards of behavior established by the International Coaching Federation “(ICF)”. www.coachingfederation.org/ethics. It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behavior.
1.7 Termination: Either party may terminate the coaching relationship at any time after agreeing to have a final session before concluding the relationship and settling financially any outstanding fees due by Client to Coach.
1.8 Road To Jubilee Coaching is under no obligation to retain any records related to the coaching services provided to Client under this Agreement.
2. Confidentiality
2.1 The Client’s identity, relationship and content of the sessions are strictly confidential except in a situation where such confidentiality would violate the law, such as harm to self or others.
2.2 Coach engages in training and continuing education pursuing and/or maintaining ICF (International Coach Federation) Credentials. That process requires the names and contact information of all Clients for possible verification by the ICF. By opting-in to this agreement, you agree to have only your name, contact information and start and end dates of coaching shared with ICF staff members and/or other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship, no personal session information will be shared.
2.3 According to the ethics of our profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and for coach professional development and/or consultation purposes.
3. Liability
3.1 Client agrees and understands that Road To Jubilee Coaching and all of it’s coaches, employees, are not medical, psychiatric or psychological professionals. The coaching process is not a substitute for psychotherapy or medical care.
3.2 If a situation arises where medical or psychological intervention is needed, Road To Jubilee Coaching is ethically and legally bound to refer the Client to a mental health or medical professional.
3.3 Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.
3. Terms of Service
3.1 Achieving the results desired by the Client and Coach normally takes time. 3.2 Either party may terminate the coaching relationship at any time after agreeing to have a final session before concluding the relationship and settling financially any outstanding fees due by Client to Coach.
4. Rates and Payment
4.1 Coaching session bundle packages are available at a discounted per session rate for a minimum of 6 sessions.
4.2 Individual sessions, scheduled outside the packaged bundle (aka Tier), are billed at a per session and may not qualify for for a discounted rate.
4.3 Fees are due and payable in full upon execution of this service agreement, prior to session appointment.
4.4 Fees paid services are non-refundable, including unused bundled sessions.
4.5 Road to Jubilee accepts Zelle, Venmo, Cash and Checks as methods of payment.
5. Coaching Sessions
5.1 Regular coaching sessions will be delivered by meeting at a specific time and place, agreed upon by the Coach and Client. Coaching sessions last for approximately 50 minutes.
5.2 Unscheduled calls or sessions will be billed at the regular rate after a grace period of 15 minutes. Regular rate is defined in Section 4.1 as $300 per session, unless Client retains an existing balance for bundled Tier Package that may be applied towards the unscheduled session,
5.3 Express written consent required to record or transcribe sessions by Client. Coach may request verbal agreement via Zoom for recorded sessions, which may be used for educational purposes purposes. Only by verbal or written agreement, may any session be recorded.
6. Cancellation of Appointments
6.1 Client is responsible for any regular session fees if the Client cancels with less than 24 hours notice. Cancellation should be given by phone (call or text), not email, whenever possible.
7. Entire Agreement
7.1 This document reflects the entire agreement between the Coach and the Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client.
8. Dispute Resolution
8.1 If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.
9. Severability
9.1 If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
10. Waiver
10.1 The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
11. Applicable Law
11.1 This Agreement shall be governed and construed in accordance with the laws of the State of California, without giving effect to any conflicts of laws provisions.
12. Binding Effect
12.1 This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
